1. AGREEMENT TO TERMS

These Terms of Use constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and Mismo LTD (“Company”, “we”, “us”, or “our”), regarding your access to and use of the www.tasal.ae website, along with any related media forms, mobile websites, or mobile applications (collectively, the “Platform”).

By accessing the Platform, you agree that you have read, understood, and accepted these Terms of Use. If you do not agree to all of these terms, you are prohibited from using the Platform and must discontinue use immediately.

We may update these Terms at any time at our discretion. Updates will be indicated by the “Last updated” date, and your continued use of the Platform confirms your acceptance of those changes.

Use of the Platform may be restricted in certain jurisdictions. Users accessing from such areas are solely responsible for compliance with local laws.

2. INTELLECTUAL PROPERTY RIGHTS

Unless stated otherwise, the Platform and its content—including all source code, databases, software, designs, media, and graphics (the “Content”) and all logos, trademarks, and service marks (the “Marks”)—are owned or licensed by Mismo LTD, and protected by applicable intellectual property laws.

You are granted a limited license to access and use the Platform for personal, non-commercial purposes. No part of the Platform may be copied, distributed, or exploited for commercial purposes without our express written permission.

3. USER REPRESENTATIONS

By using the Platform, you confirm that:

• You have the legal capacity and agree to comply with these Terms.

• You are not a minor in your jurisdiction.

• You will not use automated means (bots, scripts, etc.) to access the Platform.

• You will not use the Platform for unlawful purposes.

• Your use of the Platform complies with all applicable laws.

Providing false or incomplete information may lead to suspension or termination of your account.

4. PRODUCTS

We strive to display product details, colors, and specifications as accurately as possible. However, we cannot guarantee perfect accuracy due to differences in display settings or errors.

All products are subject to availability. We reserve the right to change or discontinue products and adjust pricing at any time without notice.

5. PURCHASES AND PAYMENT

We accept the following payment methods:

• Stripe

• Visa

• Mastercard

You agree to provide accurate and up-to-date payment and account information. All transactions will be made in UAE Dirhams. We may correct any pricing errors and cancel or limit orders as necessary, especially those that appear to be placed by dealers or resellers.

6. PROGRAMS

Share App and Earn

• Open to registered users with valid accounts.

• Rewards are earned when new users sign up using your unique referral code.

• Referral rewards can be redeemed through the app or website, subject to additional terms.

• Fraudulent activity (fake accounts, misuse of codes, etc.) may result in disqualification.

Promo Codes

• Promo codes are time-limited and may carry conditions like minimum purchase requirements.

• Cannot be combined with other offers and are limited to one use per customer.

• Misuse or abuse will result in code cancellation.

Wallet

• Registered users may use the Mismo Wallet to store and redeem funds on the Platform.

• Wallet balances can be withdrawn (min. 100 AED) with a processing time of 1–3 business days. Transaction fees apply.

• Refunds from cancellations will be credited to the wallet.

• Inactive wallet balances may expire based on our policy.

We may update or discontinue wallet features without prior notice.

7. PROMOTIONS

To maintain fairness during promotions:

• Users may be limited to purchasing one item per product during promotional events.

• All items purchased during promotions are final sale—no returns or refunds.

• If your selected color is unavailable, we may send a different color of the same product and size.

8. PROHIBITED ACTIVITIES

You agree not to:

• Collect data from the Platform to compile listings or databases.

• Circumvent security features.

• Interfere with the Platform’s proper functioning.

• Upload viruses or attempt unauthorized access.

• Harass or harm other users.

• Use the Platform in any unlawful or deceptive manner.

We reserve the right to investigate and take action against violations.

9. USER-GENERATED CONTENT

If you submit content to the Platform (e.g., reviews or feedback):

• You grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and distribute that content.

• You are responsible for the content you submit and must ensure it does not violate any laws or third-party rights.

• We reserve the right to remove any content at our discretion.

10. THIRD-PARTY LINKS AND CONTENT

The Platform may include links to third-party websites or services. Mismo LTD is not responsible for the content, accuracy, or practices of third parties. Your interaction with third-party sites is solely at your own risk.

11. Platform Management

Mismo LTD reserves the right to:

• Monitor the Platform for violations of these Terms of Use.

• Take legal action against users violating these Terms or the law.

• Remove or restrict content that violates our policies or burdens our systems.

• Manage the Platform to protect our interests and ensure proper operation.

12. Term and Termination

These Terms remain in effect while you use the Platform. Mismo LTD may, at its discretion and without notice, deny or revoke access to any user for violating these Terms or applicable laws. We may delete content and prohibit you from registering new accounts under any name. Legal action may be taken if necessary.

13. Modifications and Interruptions

Mismo LTD may modify or remove content, features, or services at any time without notice. We are not liable for any unavailability, interruptions, or changes to the Platform or services.

14. Governing Law

These terms are governed by the laws of Dubai, United Arab Emirates. Any disputes must be resolved in the courts of Dubai.

15. Dispute Resolution

Informal Negotiations:

Parties agree to attempt informal resolution of disputes for at least 60 days before arbitration.

Binding Arbitration:

Disputes shall be resolved under the International Commercial Arbitration Court (ICAC) in Dubai, in English & Arabic. Governing law is Dubai’s substantive law.

Restrictions:

Arbitration will be limited to individual disputes and not class actions or representative claims.

Exceptions:

Certain disputes (e.g., intellectual property, theft, or injunctive relief) are exempt and will be handled in Dubai courts.

16. Corrections

We may correct errors or inaccuracies in the Platform at any time without prior notice.

17. Disclaimer

The Platform is provided “as-is.” Mismo LTD disclaims all warranties, including implied ones. We are not responsible for:

• Content errors or inaccuracies

• Personal or property damage

• Unauthorized access to your data

• Bugs, viruses, or security breaches

• Losses from content or third-party links

18. Limitation of Liability

Mismo LTD is not liable for any indirect, incidental, or special damages. Our total liability, if any, will be limited to the amount you paid, if applicable.

19. Indemnification

You agree to indemnify and defend Mismo LTD and its affiliates against claims arising from your use of the Platform, violations of these Terms, or harm caused to others via the Platform.

20. User Data

We may maintain data for performance purposes. However, you are responsible for your data. Mismo LTD is not liable for data loss or corruption.

21. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Platform, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Platform, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE Platform. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

22. MISCELLANEOUS

These Terms of Use and any policies or operating rules posted by us on the Platform or in respect to the Platform constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. These Terms of Use operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms of Use is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Use and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms of Use or use of the Platform. You agree that these Terms of Use will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Terms of Use and the lack of signing by the parties hereto to execute these Terms of Use.
